Important Disclosures.

This page sets out the legal terms that apply to everything on our website. In plain terms: our investments are available only to verified accredited investors; they carry real risks, including the possibility of losing money; you won't be able to sell them easily; and nothing here is tax or legal advice. The full details follow.

Offering Exemption

Offerings by Responsible Real Estate Investment, LLC and its affiliated vehicles (together, “RREI”) are made pursuant to Rule 506(c) of Regulation D under the Securities Act of 1933, unless an offering's documents state otherwise. Securities are sold only to accredited investors whose status RREI has taken reasonable steps to verify. Any offer is made solely by a private placement memorandum or other definitive offering documents, which control over anything on this website.

Risk Summary

Private real estate investments involve substantial risk, including possible loss of your entire investment. Interests are illiquid, are subject to transfer restrictions, and generally have no redemption right or public market. Distributions are not guaranteed and may vary or stop. Real estate values and income depend on economic, market, interest-rate, regulatory and operator performance factors. Hotel income is cyclical. Development involves construction, lease-up, cost and financing risk. Healthcare tenants are exposed to reimbursement and policy change. Read each offering's risk factors in full.

Delaware Statutory Trusts, Section 1031 and Section 721

DST interests are securities. Qualification of a DST interest as replacement property under Section 1031 depends on compliance with IRS Revenue Ruling 2004-86 and on each investor's circumstances; a failure to qualify could make deferred taxes payable. A DST cannot raise new capital, borrow, reinvest proceeds or renegotiate leases, and in adverse circumstances may convert to an entity that no longer qualifies for Section 1031 treatment. A Section 721 contribution for operating partnership units is elective, one-way and available only where permitted under applicable guidance; OP units cannot be exchanged under Section 1031, and conversion of OP units to REIT shares is generally taxable. RREI REITs are private, unlisted and sector-focused, with redemption programs that are capped and may be suspended. RREI does not give tax or legal advice; consult your own advisors.

Forward-Looking Statements

This website contains forward-looking statements — including objectives, targets, projections, timelines and descriptions of intended structures — identified by words such as “target,” “seek,” “intend,” “plan,” “project,” “expect” and “may.” They reflect RREI's current assumptions, which may prove wrong, and actual results may differ materially. RREI undertakes no obligation to update them.

Track Record and Attribution

Unless stated otherwise, historical figures describe the cumulative experience of RREI's principals, including at prior firms and through partnerships outside RREI, and are not the performance of RREI or any RREI fund or program. Hotels referenced are held outside RREI and are not assets in which an RREI investor would acquire an interest. Third-party market data is cited with source and date, has not been independently verified by RREI, and describes the market, not RREI results. Past performance is not indicative of future results.

Conflicts of Interest

RREI's principals and affiliates may receive compensation from multiple sources, including sponsor, acquisition and asset-management fees and fees paid to affiliated property-management, financing and investment-sales companies. In hospitality programs, the contributing owner's operating company serves as master tenant and may participate in certain asset-management economics. Acuere Capital Partners, the private family office of RREI co-founder and Chairman Dr. Dipesh Sitaram, is RREI's founding anchor investor. Principals devote time to other businesses. These relationships create conflicts of interest, which are described in each offering's documents.

Regulatory Status

RREI is not a registered broker-dealer or investment adviser. DST interests are distributed through a FINRA-registered managing broker-dealer identified in each offering's documents; selling commissions and related fees are paid to the broker-dealer channel.

Wire-Fraud Warning

RREI never sends wire instructions by email or text. Funding instructions are provided only within the secure investor portal.
